AuditShield AI provides automated compliance acceleration software, Infrastructure-as-Code (Terraform) security baseline modules, and auditor-aligned policy templates. AuditShield AI is NOT a Certified Public Accounting (CPA) firm, law practice, or accredited certifying registrar. The software and documentation provided are designed to prepare your organization for audit review. Official SOC 2 Type I/II attestations, ISO 27001 certificates, and formal compliance sign-offs must be issued by an independent, accredited third-party auditing entity.
Upon payment of the applicable purchase fee for an AuditShield AI package (including but not limited to the Sovereign Compliance Vault at $3,499 USD), AuditShield AI grants your designated enterprise entity a non-exclusive, perpetual, worldwide, internal commercial license to use, modify, and implement the provided compliance policies, Terraform infrastructure modules, and evidence collection workflows.
The license granted herein is strictly for the internal compliance and security operations of the purchasing entity. You may NOT:
AuditShield AI provides Infrastructure-as-Code modules designed in accordance with AWS and AICPA Trust Services Criteria best practices. You acknowledge and agree that your organization's engineering team is solely responsible for testing, applying (via terraform plan / apply), and maintaining your cloud configuration within your cloud tenant.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL AUDITSHIELD AI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION) ARISING OUT OF YOUR USE OF THE SERVICES. IN ALL CIRCUMSTANCES, AUDITSHIELD AI'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (NOT TO EXCEED $3,499 USD).
These Terms shall be governed by and construed in accordance with the commercial laws of the State of California and applicable federal laws of the United States, without giving effect to conflict of law principles.
